Terms of Service

1. Acceptance of Terms

You represent that you have the legal authority to accept these Terms on behalf of yourself or the business entity you represent. If you are using Hello DM on behalf of an organization, you are agreeing to these Terms for that organization and warrant that you are authorized to bind it.

2. Service Overview

Hello DM is a SaaS messaging platform that helps businesses receive and respond to customer conversations, including conversations initiated from QR codes and links. We may update, improve, or modify the Service over time.

Features may vary by plan, region, integration availability, and account status.

3. Accounts and Eligibility

• You must provide accurate account information and keep it up to date.
• You are responsible for all activity under your account, including team-member activity.
• You must keep credentials secure and notify us promptly of suspected unauthorized use.
• You must be at least 18 years old and legally able to enter into contracts.

4. Subscriptions and Billing

Paid plans are billed on a recurring subscription basis as shown at checkout. By starting a paid plan, you authorize recurring charges using your selected payment method until cancellation.

• Trials: Free trials may be offered. Unless otherwise stated, paid billing starts after the trial period ends.
• Renewals: Subscriptions renew automatically each billing cycle.
• Plan changes: Upgrades, downgrades, and seat changes may take effect immediately or at the next renewal depending on configuration.
• Taxes: Fees may exclude applicable taxes, which are your responsibility.
• Refunds: Except where required by law, payments are non-refundable.

5. Acceptable Use

You agree not to use the Service to:

• Violate any law, regulation, or third-party right.
• Send unlawful, deceptive, harassing, abusive, defamatory, or infringing content.
• Distribute spam, malware, or malicious links, or attempt unauthorized access.
• Circumvent security controls, rate limits, or plan limits.
• Use the Service in a way that disrupts operations or harms users.

6. Messages and Content Responsibilities

You retain ownership of your business content and customer conversations submitted through the Service ("Customer Content"). You grant Hello DM a limited license to host, process, transmit, and display Customer Content only as needed to provide and secure the Service.

You are solely responsible for obtaining all required notices, permissions, and legal bases to collect and process customer communications, including where required by messaging, marketing, and privacy laws.

7. Privacy and Data

Our handling of personal data is described in our Privacy Policy. By using the Service, you agree to those data practices.

You are responsible for configuring your account and workflows in a way that matches your compliance obligations.

8. Third-Party Services

The Service may rely on or link to third-party services (for example hosting, analytics, identity, or payment providers). Your use of third-party offerings may be governed by separate terms between you and those providers. Hello DM is not responsible for third-party services outside our reasonable control.

9. Intellectual Property

Hello DM and its licensors own all rights, title, and interest in the Service, including software, branding, trademarks, and documentation. Except for limited rights expressly granted in these Terms, no rights are transferred to you.

We welcome product feedback, but you agree we may use it without restriction or compensation.

10. Availability and Security

We work to keep the Service reliable and secure, but we do not guarantee uninterrupted or error-free operation. Scheduled maintenance, third-party outages, or events beyond our control can affect availability.

You are responsible for maintaining your own backups of critical business data where appropriate.

11. Suspension and Termination

You may cancel your account at any time. We may suspend or terminate access to the Service if you violate these Terms, create legal or security risk, fail to pay fees, or if required to comply with law.

Upon termination, rights to use the Service end immediately. Provisions that by nature should survive termination (including payment obligations, liability limitations, and indemnities) will survive.

12. Disclaimers and Limitation of Liability

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Hello DM disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, Hello DM will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data. Our aggregate liability for claims relating to the Service will not exceed the amounts you paid to Hello DM in the 12 months preceding the event giving rise to the claim.

13. Indemnification

You agree to defend, indemnify, and hold harmless Hello DM and its affiliates, officers, directors, employees, and agents from and against claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, Customer Content, or violation of these Terms.

14. Governing Law

These Terms are governed by applicable laws in the jurisdiction where Hello DM is established, without regard to conflict-of-law rules. You agree to resolve disputes in courts of competent jurisdiction in that location, unless otherwise required by law.

15. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms and revise the effective date. Continued use of the Service after the effective date means you accept the revised Terms.
